These Terms of Service (“Terms”) are a legal agreement between JIAFLOW (SMC-PRIVATE) LIMITED (“JiaFlow,” “we,” “us,” or “our”) and you (“you” or “Customer”) governing your access to and use of our cloud hosting and related services (the “Services”). By creating an account, clicking “I agree,” or using the Services, you accept these Terms.
Eligibility & Account
- You must be legally capable of entering into contracts. If you register on behalf of a business, you represent you have authority to bind that entity.
- You agree to provide accurate information and keep credentials secure. You are responsible for activities under your account.
Service Model
JiaFlow orchestrates and resells infrastructure from top, trusted third-party providers. We provision servers and resources on your behalf and present them through our platform. While we manage provisioning and billing, your content and workloads remain yours.
Acceptable Use
You agree not to use the Services to:
- Violate any law or third-party rights; engage in illegal content or activity.
- Distribute malware, run phishing, spam, DDoS, port scanning, or intrusion attempts.
- Host abusive content (e.g., doxxing, child abuse, extremist propaganda, IP infringement).
- Mine cryptocurrency or run resource-intensive workloads beyond plan limits without prior approval.
- Interfere with the integrity or performance of the Services or others’ use of them.
We may suspend or terminate accounts for violations, abuse, or security risks.
Plans, Billing & Taxes
- By adding a payment method, you authorize us and our payment processors to charge recurring fees, usage, and applicable taxes.
- Fees are shown at checkout in the stated currency. You are responsible for bank/exchange/cross-border fees.
- Unless explicitly stated, fees are non-refundable once a billing period starts or resources are provisioned.
- Unpaid amounts may lead to suspension or termination after notice.
Cancellations, Downgrades & Trials
- You can cancel at any time from the dashboard; cancellation stops future renewal charges.
- Downgrades take effect from the next billing cycle unless stated otherwise.
- If a free trial is offered, it is limited to the stated duration and features; we may end, limit, or modify trials at any time.
Service Levels & Maintenance
- We aim for high availability using reputable providers. Actual performance may depend on upstream providers and your configuration.
- Planned maintenance (including provider maintenance) may cause temporary service impact; we strive to give reasonable notice.
- Optional SLAs or credits, if any, will be described in a separate written SLA or your order form.
Your Content & Data
- You retain ownership of your content, data, and configurations.
- You grant us a limited license to host, process, and transmit your data solely to deliver and secure the Services.
- You are responsible for compliance (e.g., data subject consents, notices, and lawful processing).
Security & Backups
- We implement administrative, technical, and physical safeguards; no method is 100% secure.
- You are responsible for setting appropriate access controls (SSH keys, passwords, firewalls) and securing apps you deploy.
- Unless your plan explicitly includes managed backups, you are responsible for your own backups. We recommend off-platform backups.
Subprocessors & Third-Party Services
- We use vetted subprocessors (e.g., infrastructure, payment, email) under contracts that protect your data.
- Optional third-party integrations you enable are governed by their separate terms and privacy practices.
API, Rate Limits & Fair Use
- We may apply reasonable rate limits and fair-use thresholds to maintain platform stability.
- We may throttle or suspend access that materially degrades service for others.
Support
- Support scope and response targets are defined by your selected plan.
- Emergency security issues may be prioritized at our discretion.
Suspension & Termination
- We may suspend or terminate for: material breach, non-payment, legal obligation, or risk to the platform.
- Upon termination, resources may be stopped and deleted after a reasonable retention period. Export your data beforehand.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JIAFLOW AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
You agree to indemnify and hold harmless JiaFlow from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your content, your use of the Services, or your violation of these Terms.
Changes to the Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., email or in-app). Your continued use after the effective date constitutes acceptance of the updated Terms.
Definitions
- “Services” means JiaFlow’s platform, APIs, orchestration, and related hosting features.
- “Content” means data, software, and materials you submit, store, or run on the Services.
- “Order” means any online order, checkout, or invoice describing your selected plan and pricing.
