1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Jiaflow ("we", "us", or "our") governing your access to and use of the Jiaflow platform, including Jiaflow POS and all related applications, websites, APIs, and services (collectively, the "Services"), accessible via jiaflow.com.

By creating an account, accessing, or using the Services in any way — including signing in with Google — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

2. Description of Services

Jiaflow provides Jiaflow POS, a cloud-based point-of-sale and business management platform designed to help businesses manage sales, inventory, customers, staff, and reporting from a single, accessible dashboard. Features may vary by plan and are subject to change.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. Account Registration and Security

To access most features of the Services, you must create a Jiaflow account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security and confidentiality of your login credentials.
• Notify us immediately at contact@jiaflow.com if you suspect unauthorised access to your account.
• Accept responsibility for all activities that occur under your account.

You may not share your account credentials with others or allow multiple individuals to use the same account, except where team/staff access features are explicitly provided within your plan.

4. Sign-In with Google

Jiaflow offers the option to register and sign in using your Google account ("Sign in with Google"). By using this feature, you authorise Jiaflow to receive your Google account name, email address, and profile picture from Google LLC for the purpose of authenticating your identity and creating or accessing your Jiaflow account.

You can revoke Jiaflow's access to your Google account at any time through your Google Account permissions page. Revoking Google access will not delete your Jiaflow account; however, you will be required to set a password to continue signing in.

Your use of Google Sign-In is also subject to Google's Terms of Service.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in a manner consistent with all applicable local, national, and international laws and regulations. You must not:

• Use the Services to engage in any fraudulent, abusive, deceptive, or illegal activity.
• Attempt to gain unauthorised access to any part of the platform, other user accounts, or our infrastructure.
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Services.
• Transmit malware, viruses, or any other harmful code via the Services.
• Use automated scripts, bots, or scrapers to access or extract data from the platform without our prior written consent.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Upload or process data through the Services that infringes third-party intellectual property rights, violates privacy laws, or is otherwise unlawful.
• Interfere with or disrupt the integrity, availability, or performance of the Services.

We reserve the right to suspend or terminate accounts found to be in violation of this section without prior notice.

6. Plans, Billing, and Payments

Jiaflow offers both free and paid subscription plans. By subscribing to a paid plan, you agree to the following:

• Billing cycle: Subscriptions are billed on the recurring cycle specified at checkout (e.g., monthly or annually).
• Automatic renewal: Paid plans renew automatically at the end of each billing period unless cancelled before the renewal date.
• Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period; no partial refunds are issued for unused time unless required by applicable law.
• Price changes: We reserve the right to change subscription pricing. We will provide reasonable notice of any price changes before they take effect. Continued use of the Services after a price change constitutes acceptance of the new pricing.
• Taxes: Prices displayed may be exclusive of applicable taxes, which will be added at checkout where required by law.

Payment processing is handled by our third-party payment providers. We do not store full payment card details on our servers.

7. Intellectual Property

All intellectual property rights in the Jiaflow platform, including its software, design, graphics, logos, trademarks, and content (collectively, "Jiaflow IP"), are owned by or licensed to Jiaflow. Nothing in these Terms grants you any right, title, or interest in Jiaflow IP beyond the limited right to use the Services as set out herein.

You retain full ownership of all business data, content, and information you upload or create within Jiaflow POS ("Your Data"). By using the Services, you grant Jiaflow a limited, non-exclusive, worldwide licence to store, process, and display Your Data solely as necessary to provide and operate the Services on your behalf.

You represent and warrant that you have all necessary rights to Your Data and that it does not infringe any third-party rights.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.

9. Confidentiality and Data Protection

We treat the business data you process through Jiaflow POS as confidential. We will not disclose Your Data to third parties except as necessary to provide the Services, comply with applicable law, or as permitted in our Privacy Policy.

You are responsible for ensuring that any personal data about your customers that you enter into Jiaflow POS is handled in accordance with applicable privacy and data protection laws in your jurisdiction.

10. Disclaimers and Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee the accuracy or completeness of any content or data on the platform.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JIAFLOW AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

In no event shall our total aggregate liability to you exceed the greater of (a) the amounts paid by you to Jiaflow in the twelve (12) months prior to the event giving rise to the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Jiaflow and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, Your Data, your violation of these Terms, or your violation of any applicable law or third-party rights.

13. Termination

You may close your account at any time by contacting us at contact@jiaflow.com or through your account settings.

We reserve the right to suspend or terminate your access to the Services at our discretion, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or harmful conduct, or if required by law.

Upon termination, your right to use the Services ceases immediately. We may retain Your Data for a limited period as required by law or our data retention policies, after which it will be deleted.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction. You and Jiaflow agree to attempt to resolve any dispute informally by first contacting us at contact@jiaflow.com before initiating any formal legal proceedings.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or in-app notification. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.
